Welcome to 0x4447, LLC ("us", "we", "our", or "Company"). By accessing and using the website (the "Platform") provided by 0x4447, you ("User" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

We reserve the right to update, change, or modify these Terms at any time without prior notice. It is your responsibility to periodically review these Terms. Your continued use of the Platform constitutes your acceptance of any changes to the Terms.

Services and Products

0x4447 provides AWS consulting services and software products distributed through the AWS Marketplace, such as Valdras Gate. Consulting engagements are governed by the separate written agreement between you and 0x4447 for that engagement; if there is a conflict between these Terms and that agreement, the agreement controls for the engagement. Products purchased through the AWS Marketplace are procured and billed through your own AWS account and are additionally subject to the AWS Marketplace terms and any end user license agreement that accompanies the product. Refunds for AWS Marketplace purchases are handled as described on our Refund page.

Payments

The Platform allows you to send us payments through our payment page. Payments are processed by Stripe; we do not receive or store your card details. Purchases made through the AWS Marketplace are billed by AWS through your AWS account, not through the Platform.

Eligibility

By using the Platform, you represent and warrant that you are at least 18 years old or have the consent of a parent or guardian to use the Platform. If you are under the age of 18, your parent or guardian must agree to these Terms on your behalf.

User Conduct

You agree to use the Platform in compliance with all applicable laws and regulations. You are responsible for any information you submit through the Platform, including through our contact, support, and refund forms. You agree not to:

• Submit content that is defamatory, libelous, obscene, or otherwise objectionable;
• Submit content that infringes upon the intellectual property rights of others;
• Submit false or misleading information, including fraudulent refund requests;
• Engage in any activity that violates any law or regulation;
• Impersonate others or misrepresent your affiliation with any person or entity;
• Interfere with or disrupt the operation of the Platform;
• Engage in spamming, phishing, or other malicious activities.

Intellectual Property

All content on the Platform, including, but not limited to, text, graphics, logos, and images, is the property of 0x4447 or its content suppliers and is protected by United States and international copyright and trademark laws. You may not reproduce, distribute, or create derivative works from such content without the express written consent of 0x4447.

The Platform may contain links to third-party websites or services. We are not responsible for the content or practices of these third-party websites or services. You acknowledge and agree that we are not liable for any loss or damage resulting from your use of or reliance on such websites or services.

Disclaimer of Warranties

The Platform is provided "as is" and without warranties of any kind, either express or implied. We do not warrant that the Platform will be error-free or uninterrupted, nor do we warrant the accuracy, completeness, or reliability of any content on the Platform.

Limitation of Liability

In no event shall 0x4447 or its affiliates, directors, employees, or agents be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Platform, even if advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless 0x4447 and its affiliates, directors, employees, and agents from any claims, liabilities, damages, or expenses, including reasonable attorneys' fees, arising out of your use of the Platform or your violation of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and of the state in which the Company is organized, without regard to conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration, in accordance with the rules of the American Arbitration Association. The location of arbitration shall be in the state in which the Company is organized. The language of the arbitration shall be English.

Termination

We reserve the right to terminate your access to the Platform at any time, with or without cause or notice, for any reason or no reason, including, but not limited to, your violation of these Terms.

Upon termination of your access to the Platform, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including, but not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and 0x4447 regarding your use of the Platform and supersede all prior agreements and understandings, whether written or oral, or whether established by custom, practice, policy, or precedent, with respect to the subject matter of these Terms.

Assignment

You may not assign or delegate any rights or obligations under these Terms without our prior written consent, and any unauthorized assignment or delegation by you is void and ineffective. We may assign or delegate these Terms or any rights or obligations hereunder, in whole or in part, to any third party without notice or consent.
